Terms and Conditions
Through the purchase of a Raffle Ticket in the Ira Zaslow Foundation 2004 Mercedes ML350 SUV Raffle you agree to be bound by the terms and conditions set out below.

1.ELIGIBILITY
The Ira Zaslow Foundation SUV Raffle (the "Raffle" or "Giveaway") is offered and open only to legal residents of United States and its territories who are at least 18 years old at the time of entry. Directors, employees or officers of the Ira Zaslow Foundation ("IZF"), and the immediate family or members of the households of such persons are not eligible. By entering this raffle and purchasing your ticket(s), you agree to these Official Rules and the decisions of IZF, which are final and binding in all respects.

2. RAFFLE PERIOD
Raffle period begins on Monday January 19, 2004 at 5:00 a.m. Eastern Time (ET), and ends on March 15, 2004 at 11:59:59 p.m. ET ("Raffle Period"). IZF reserves the right to terminate the promotion by giving notice during any calendar day, deemed appropriate by IZF, in which case the Raffle will terminate immediate and all collected raffle fees will be fully reimbursed within 1 calendar month from date of termination. IZF reserves the right to extend the Raffle period to no later than March 31, 2004 at 11:59:59 p.m. ET ("Extended Raffle Period"). If all allocated tickets (see allocations below) are sold prior to March 15, 2004 an earlier drawing may be selected by IZF.

3. ENTRY
There are two ways to purchase a raffle ticket and enter to win: A secure Credit Card transaction executed through Paypal.com or the Mail-In-Method through cash, a check or money order.

Credit Card/Online Method: To enter the Ira Zaslow Foundation 2004 Mercedes ML350 SUV Raffle by means of a credit card transaction, access the IZFInc.org web site located at http://www.izfinc.org or http://www.irazaslowfoundation.org. Select the Register to Win icon (also identified by the Mercedes Picture) and complete your transaction with paypal.com by filling out your full name, complete home address, including zip code, home telephone number (including area code) and any other requested fields and follow the instructions at the web site. Once your transaction is complete, you will receive email notification of your raffle ticket #'(s) within 1 business day as well as postal delivery of your physical raffle ticket(s).

Mail-in Method (Check, Money Order, Cash): To purchase your IZF 2004 Mercedes ML350 SUV Raffle Tickets via a check, money order or cash please send a one sheet document in black or blue ink (typed or printed) including your full legal name, complete home address including zip code, home telephone number with area code, date of birth, email address (if available), Total # of $50.00 Raffle Tickets, Total Cost and mail in a stamped envelope to: The Ira Zaslow Foundation, Attn: Mercedes Raffle, 136 East 55th Street, Suite 5G, New York, NY 10022.

To print the Ira Zaslow Foundation 2004 Mercedes ML350 SUV Raffle Form access the IZFInc.org web site located at http://www.izfinc.org or http://www.irazaslowfoundation.org. Select the Register to Win icon (also identified by the Mercedes Picture) and select the printable form icon to download the Mail-in-Form which should be printed and the directions on the form followed.

ALL OTHER MAIL-IN ENTRIES ARE VOID. Once your payment has been processed, the raffle ticket(s) will be mailed to you.

4. DRAWING
One Grand Prize Winner will be selected by random drawing from all eligible entries received. Drawing(s) for the Grand Prize will take place on or about 3/15/04. Drawings will be conducted under the supervision of the Ira Zaslow Foundation's Board of Directors.

5. PRIZES/ODDS
(1) Grand Prize: There will be one Grand Prize awarded . The Grand Prize winner will receive a pre-paid in full (excluding all applicable taxes) 2004 Mercedes ML350 SUV valued at approximately $43,000. The Grand Prize winner will be determined by random drawing. The winner, prior to taking receipt of the vehicle must satisfy all local and federal tax obligations.

(2) First Place: There will be one First Place awarded. The First Place Prize winner will receive a pre-paid in full (excluding all applicable taxes) 42-inch ED Plasma TV valued at approximately $3,000. The First Place Prize winner will be determined by random drawing. The winner, prior to taking receipt of the Television must satisfy all local and federal tax obligations. Television brand will be selected by IZF at its sole discretion.

Odds of winning depend on the number of eligible entries received. No assignment, transfer or substitution of prizes is permitted. All prizes are expressed in U.S. Dollars. A minimum of 2000 $50 tickets must be sold for the 2004 Mercedes ML350 SUV raffle to take place. If fewer tickets are sold, all purchasers will receive a full refund of their raffle ticket purchase. The Board of Directors reserves the right to lower the minimum tickets to be sold stated above, but will at no time increase or be authorized to increase the maximum. IZF has authorized a maximum of 4999 tickets to be sold.

The raffle winner assumes all fees, as well as local, state and federal taxes and must be 18 years of age or older. Per IRS rules, the purchase of a raffle ticket(s) is not considered a charitable contribution and does not qualify for tax-deductible charitable contribution.

There are no limits on the number of tickets that may be purchased by any one individual, entitiy or company. IZF assumes no responsibility for lost, late or misdirected or undelivered entry forms.

7. LIMITATIONS OF LIABILITY
The Ira Zaslow Foundation ("IZF") is not responsible for late, lost, illegible, misdirected, stolen, undelivered, separated, or postage due entries or mail, and IZF assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to its web sites. IZF is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, computer equipment, software, failure of any e-mail or entry to be received by IZF on account of technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof.

IZF is not responsible for any incorrect or inaccurate capture of information or the failure to capture such information, whether caused by web site users, tampering or hacking, or by any of the equipment or programming associated with or utilized in the Sweepstakes. IZF is not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Raffle or downloading materials from or use of the web site.

The raffle winner releases the Ira Zaslow Foundation and its Directors from all liability and responsibility for the vehicle.

IN NO EVENT WILL IZF OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF INTERNET SITE WWW.IZFINC.ORG OR WWW.IRAZASLOWFOUNDATION.ORG OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THIS SITE AND IN THIS PROMOTION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. 8. ARBITRATION AND DISPUTES
As a condition of participating in this Raffle, participant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Raffle, or any prizes awarded, or the determination of winners shall be resolved individually, without resort to any form of class action exclusively by arbitration pursuant to the commercial arbitration rules of the American Arbitration Association, then effective. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with entering this Raffle), and participant further waives all rights to have damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and the Ira Zaslow Foundation in connection with this Raffle, shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to the conflict of laws rules thereof, and all proceedings shall take place in that State in the City of New York, County of New York.

In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
